Terms of use

These terms govern the use of the Kori Docs platform, offered by Kori Docs (“Kori Docs”, “we”). By creating an account or using the service you agree to them. If you use it on behalf of a company, you declare you have authority to bind it.

Controller: Kori Docs, CNPJ —, —. Contact: contato@koridocs.com.

In case of discrepancy between language versions, the Portuguese text prevails.

1. The service

Kori Docs is a platform for electronic and digital signatures, contract management and document storage. It lets you send documents for signature, collect evidence, apply a digital signature with the client company’s ICP-Brasil certificate, store files and track deadlines.

The service is provided as available at any given time. Features may be added, changed or discontinued; changes that materially reduce what was contracted are announced at least 30 days in advance.

2. Account and company

Each user has a personal, non-transferable account linked to one or more companies (workspaces). The company owner is responsible for the users they invite and the roles they assign.

You are responsible for keeping your password confidential, enabling two-step verification when available and reporting any unauthorized use immediately.

You must be at least 18 years old and have full legal capacity to use the service.

3. Plans, payment and cancellation

Current plans, limits and prices are published on the pricing page. Billing is per company, in the contracted cycle. Documents sent for signature count toward the plan’s monthly quota.

The trial period, when offered, is free and requires no card. At the end, the company moves to the chosen plan or to the available free plan, with the corresponding limits.

Cancellation can be made at any time and takes effect at the end of the paid cycle. There is no pro-rata refund for started periods, except where required by law.

Prices may be updated with 30 days’ notice. The update applies from the next renewal.

4. Validity of signatures

Electronic signatures collected by the platform are made under art. 10, § 2, of Provisional Measure 2.200-2/2001 and Law 14.063/2020, identifying the signer by ID number (CPF), confirming through a one-time code sent to the informed contact and recording IP, date, time and document hash.

Digital signatures with an ICP-Brasil certificate (the signer’s or the client company’s) follow the PAdES standard and carry a presumption of authenticity under art. 10, § 1, of the same Provisional Measure.

Choosing the appropriate signing method for each document and verifying the parties’ identity are the client company’s responsibility. Kori Docs provides the technical means and the evidence, but does not provide legal advice.

5. Client responsibilities

The client company is the controller of the personal data of the people it invites to sign and must have a legal basis to process it. It is responsible for the content of the documents sent, the accuracy of registered data and the use of the A1 certificate it uploads.

It is forbidden to use the platform for unlawful or fraudulent documents or ones that violate third-party rights; to send unsolicited communications; to attempt to access other companies’ data; or to overload, exploit or copy the service.

We may suspend accounts that violate these terms, with notice when possible, preserving already signed documents for the legal period.

6. Our responsibilities

We apply technical and organizational measures to protect documents and data: private storage, encryption of secrets, audit trail and access control. We keep backups and work toward the highest possible availability, without guaranteeing uninterrupted service.

We are not liable for losses arising from misuse of the account, incorrect data provided by the client or signers, failures of third-party services (email, WhatsApp, certificate authorities, cloud providers) or force majeure.

Within the limits of the law, our total liability for damages related to the service is limited to the amount paid by the company in the 12 months preceding the event.

7. Documents, storage and termination

Documents belong to the client company. They can be downloaded at any time from the dashboard or the API.

The company may set retention and purge periods. When the account is closed, files are kept for 90 days for download and then deleted; only the minimum records needed for public verification (code, hashes and history) and legal obligations remain.

Documents under a legal hold reported by the company are not purged while the hold lasts.

8. Intellectual property

The platform, its brand, code, texts and layout belong to Kori Docs. The client receives a non-exclusive, revocable license restricted to the purpose of the service. Built-in templates may be used and adapted by the client in its own documents.

9. Integrations and API

Use of the API and webhooks is subject to request limits and token permissions. The client is responsible for the systems it connects and for safeguarding tokens. Third-party integrations (Google Drive, login providers) are also governed by those services’ terms.

10. Changes and jurisdiction

We may update these terms. Material changes are communicated by email or on the dashboard 30 days in advance; continued use after that period means agreement.

These terms are governed by the laws of the Federative Republic of Brazil. The courts of the district of Kori Docs’ headquarters are elected, except where the law guarantees consumers a different venue.
